These Terms and Conditions ("Terms") govern your use of OpenVoice Agents ("the Platform"), operated by Babbagenz ("we", "us", "our"). By accessing or using the Platform, you agree to be bound by these Terms.

1. Service Description

OpenVoice Agents is a multi-tenant AI voice agent platform that enables businesses to deploy AI-powered phone receptionists and voice agents. The Platform operates on a Bring Your Own Key (BYOK) model — users provide their own OpenAI API key to power AI functionality.

2. User Eligibility

The Platform is intended for use by businesses and business representatives only. By creating an account, you represent that you are authorized to act on behalf of your organization and that you are at least 18 years of age.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Bring Your Own Key (BYOK)

The Platform requires you to provide your own OpenAI API key. You are solely responsible for your API key usage, associated costs from OpenAI, and the outputs generated by AI models through your key. We are not responsible for the content, accuracy, or appropriateness of any AI-generated output.

5. Subscription and Billing

Subscriptions are billed monthly in Indian Rupees (INR) via Razorpay. By subscribing, you authorize us to charge your selected payment method on a recurring basis. All fees are non-refundable. See our Cancellation and Refund Policy for details.

6. Acceptable Use

You agree not to use the Platform to:

  • Make spam, unsolicited, or robocalls
  • Engage in any illegal, fraudulent, or deceptive activities
  • Harass, threaten, or abuse any person
  • Violate any applicable local, state, national, or international law or regulation
  • Interfere with or disrupt the integrity or performance of the Platform

7. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties. You may cancel your subscription at any time through your account settings.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Babbagenz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim arising from or related to these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in India.
